The availability and suitability of any service will depend on the project requirements, equipment, personnel, ground conditions, site access and other relevant circumstances.

The precise scope of any work will be agreed separately with the relevant customer or contractor.

4. Technical Capabilities and Performance

Information on our website regarding drilling equipment, bore lengths, installation diameters, machinery and technical capabilities is provided for general information.

Our stated capabilities may include bore lengths of up to 100 metres per shot for installation diameters of 125 mm, 90 mm and 63 mm, subject to suitable operating conditions and project requirements.

Actual performance will depend on factors including:

  • Ground conditions and geological characteristics.

  • Bore length, depth, alignment and profile.

  • Required installation diameter and pipe or duct specifications.

  • Existing underground services and other obstructions.

  • Site access, working space and site layout.

  • Drilling equipment, tooling and operating conditions.

  • Environmental restrictions and groundwater conditions.

  • Project-specific engineering and safety requirements.

Information about our capabilities does not constitute a guarantee that a particular project can be completed to a specified length, diameter, depth, programme or price.

Project-specific requirements must be assessed and confirmed before work begins.

Where appropriate, further technical information, site investigations, engineering assessments and project documentation may be required.

5. Website Enquiries and Quotations

Customers may use our website to contact us, discuss potential projects or request quotations.

Submitting an enquiry does not create a binding contract or guarantee that JF Drilling Solutions will undertake the proposed work.

Unless expressly agreed otherwise in writing:

1. Website enquiries are requests for information.

2. Indicative prices and preliminary estimates are not binding quotations.

3. Formal quotations may contain specific assumptions, exclusions, validity periods and conditions.

4. A contract will be formed in accordance with the acceptance procedure and terms specified in the relevant quotation or agreement.

5. The scope of work, price, programme and responsibilities will be determined by the applicable project documentation.

We reserve the right to decline a project enquiry where the work falls outside our capabilities, availability, operational requirements or agreed commercial criteria.

6. Project Contracts and Commercial Agreements

All drilling projects and personnel supply arrangements must be agreed separately.

Depending on the nature of the work, the applicable agreement may cover:

  • Scope of work and technical specifications

  • Drilling equipment and personnel

  • Contract price and payment terms

  • Mobilisation and demobilisation

  • Project programme and working hours

  • Site access and ground information

  • Underground service information and detection arrangements

  • Health and safety responsibilities

  • Permits, permissions and traffic management

  • Environmental requirements

  • Insurance and allocation of risk

  • Variations, delays and additional work

  • Suspension, cancellation and termination

  • Defects, remedial work and warranties

  • Dispute resolution

If these Website Terms and Conditions conflict with a signed project agreement, the project agreement will govern the relevant project matters, subject to applicable law.

Nothing in this section overrides any mandatory statutory requirement.

7. Client and Contractor Responsibilities

The client, principal contractor or appointing organisation must provide the information, cooperation and access required under the applicable project agreement.

Depending on the agreed scope and the legal duties of each party, this may include:

  • Providing available underground utility records and drawings

  • Disclosing known underground services, structures and obstructions

  • Providing relevant ground investigation information

  • Identifying site restrictions and known hazards

  • Arranging permissions, approvals and permits allocated to the client

  • Providing agreed site access and working facilities

  • Coordinating the activities of other contractors

  • Establishing site induction and access arrangements

  • Agreeing responsibility for utility surveys, trial holes and service marking

  • Agreeing responsibility for traffic management, excavations, pits and reinstatement

Responsibilities must be established clearly before work begins.

The allocation of responsibilities in a contract does not remove any statutory duty that a party is legally required to discharge.

JF Drilling Solutions will carry out its agreed responsibilities and comply with the legal requirements applicable to its activities.

8. Underground Services and Site Safety

Horizontal directional drilling involves working underground and may present risks associated with buried utilities, obstructions, ground conditions, drilling fluid and adjacent infrastructure.

All work must be appropriately planned and carried out using suitable safety procedures.

Relevant guidance includes the Health and Safety Executive’s HSG47: Avoiding Danger from Underground Services, which addresses planning, locating and identifying buried services, and safe excavation.

Depending on the project, suitable precautions may include:

  • Reviewing available underground utility records

  • Using appropriate service detection equipment

  • Identifying and marking known services

  • Conducting trial holes or other necessary verification

  • Preparing risk assessments and method statements

  • Establishing safe working areas and exclusion zones

  • Coordinating activities with the site management team

  • Monitoring drilling conditions and relevant site hazards

  • Stopping work when an unforeseen hazard creates an unacceptable risk

No utility drawing, survey or detection method should automatically be treated as confirmation that an area is free from underground services.

If an unexpected service, obstruction or hazardous condition is encountered, work may need to stop while the situation is assessed and appropriate precautions are implemented.

The parties will deal with any associated delays, additional work and costs in accordance with their project agreement and applicable law.

Nothing in these terms excludes any applicable health and safety duty.

9. Health, Safety and Environmental Compliance

JF Drilling Solutions expects its personnel, clients, contractors and subcontractors to cooperate in maintaining safe working conditions.

Each party must comply with the health and safety and environmental requirements applicable to its own activities.

Depending on the work, relevant legislation may include:

  • Health and Safety at Work etc. Act 1974.

  • Construction (Design and Management) Regulations 2015.

  • Management of Health and Safety at Work Regulations 1999.

  • Control of Substances Hazardous to Health Regulations 2002, where applicable.

  • Environmental Protection Act 1990, where applicable.

  • Applicable waste management and environmental permitting legislation.

The precise legal requirements will depend on the nature, location and circumstances of the work.

Project-specific arrangements should address drilling fluid management, spoil handling, waste disposal, pollution prevention, noise and other environmental considerations.

Work may be suspended where continuing would create an unacceptable safety risk or breach an applicable legal requirement.

Any suspension, additional cost or resulting delay will be addressed under the applicable project agreement and relevant law.

10. Provision of Drilling Personnel

JF Drilling Solutions may provide suitably experienced drilling personnel to other companies for suitable projects.

All personnel supply arrangements are subject to availability, suitability and separate agreement.

The relevant commercial agreement should establish:

  • The personnel and services being supplied.

  • Relevant qualifications and experience.

  • The agreed rates and payment terms.

  • Working hours, overtime and travel arrangements.

  • The division of supervision and site management responsibilities.

  • Site induction and competency requirements.

  • Equipment and personal protective equipment arrangements.

  • Insurance and liability provisions.

  • Incident reporting and safety procedures.

  • The duration and termination of the assignment.

The parties’ legal responsibilities will depend on the actual working arrangements and applicable law.

Registering an interest in working with JF Drilling Solutions does not guarantee employment, subcontracting work, project placement or a minimum amount of work.

Any engagement will be subject to separate agreement and appropriate verification.

11. Driller Registration

Our website may provide a facility for drilling personnel to register their interest in future work opportunities.

Registration is intended to help us identify experienced personnel who may be suitable for future projects or personnel supply opportunities.

By submitting a registration form, you confirm that the information provided is accurate and not misleading.

You must not submit another person’s personal information without appropriate authority.

Registration does not guarantee:

  • Employment by JF Drilling Solutions.

  • A subcontracting agreement.

  • Placement on a particular project.

  • A minimum number of working hours.

  • Any minimum level of earnings.

  • Future contact or an offer of work.

Any future engagement will be subject to availability, suitability, relevant checks and a separate agreement.

Personal information submitted through the driller registration form will be handled in accordance with our separate Driller Registration Privacy Notice.

That notice will explain how registration information is collected, used, retained and shared, together with the rights available to individuals under applicable data protection law.

12. Pricing, Invoicing and Payment

The prices and payment arrangements for drilling services and personnel supply will be established in the relevant quotation, purchase order or contract.

Depending on the agreement, commercial terms may specify:

  • Contract prices or hourly, daily or other agreed rates.

  • Whether prices include or exclude VAT.

  • Invoicing frequency and supporting documentation.

  • Payment due dates.

  • Procedures for disputing invoices.

  • Mobilisation and demobilisation charges.

  • Variations and additional work.

  • Retentions, where agreed and legally permissible.

  • Late-payment interest and recovery costs.

For qualifying commercial debts, statutory rights may arise under the Late Payment of Commercial Debts (Interest) Act 1998. Certain construction contracts may also be subject to the Housing Grants, Construction and Regeneration Act 1996, including applicable payment and adjudication provisions.

The application of these provisions depends on the circumstances and the contract concerned.

Nothing in these terms is intended to exclude statutory payment rights or impose an unlawful payment condition.

13. Variations, Unforeseen Conditions and Delays

Drilling projects may be affected by unforeseen ground conditions, underground obstructions, inaccurate site information, restricted access, design changes, adverse weather and other unexpected circumstances.

The parties should agree a procedure for recording and approving changes to the work.

Unless otherwise specified in the project contract:

1. Changes to the agreed scope should be documented.

2. Any change to the price or programme should be agreed through the applicable contractual procedure.

3. Delays should be notified as soon as reasonably practicable.

4. The parties should cooperate to mitigate avoidable disruption.

5. Additional work must be authorised in accordance with the contract, except where immediate action is reasonably necessary to address an emergency or safety risk.

An unforeseen condition does not automatically entitle either party to additional payment or an extension of time. Entitlements will depend on the applicable contract and law.

14. Suspension, Cancellation and Termination

The suspension, cancellation or termination of a drilling project or personnel supply arrangement will be governed by the applicable commercial agreement.

That agreement should establish the circumstances in which a party may suspend or terminate the work, including material breach, non-payment, safety concerns and prolonged delay.

Where work is suspended or cancelled, the parties should deal with completed work, committed resources, equipment mobilisation, demobilisation and any recoverable costs in accordance with the agreement.

Cancellation charges and termination payments must be contractually justified and comply with applicable law.

Nothing in these terms authorises an unlawful penalty or removes any statutory right.

15. Insurance and Liability

JF Drilling Solutions will maintain insurance required by law and any additional cover expressly agreed for the relevant project.

Depending on the activities and contractual requirements, this may include employers’ liability, public liability, motor insurance and other appropriate cover.

The applicable project agreement should establish any specific insurance requirements and liability arrangements.

To the extent permitted by law, each party will be responsible for the liabilities allocated to it under the relevant contract.

Nothing in these Website Terms and Conditions excludes or restricts liability where such exclusion or restriction would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

Any contractual limits on liability for property damage, underground service damage, financial loss, delay, defective work or other commercial claims must be expressly agreed and legally enforceable.

These website terms do not, by themselves, establish a comprehensive limitation of liability for drilling projects. Appropriate provisions should be included in the separate project contract after legal review.
